Second: Scope of the license
<p>You give Schoolhub a non-exclusive, non-transferable, non-assignable, and non-sublicensable license through using this website so you must:<br><br>- Not to make the Services available or rent, lease, assign, resell, distribute or sublicense these Services to any third party<br>- to modify, excerpt, translate, summarize, create a derivative work based on, or reverse engineer the SchoolHub design. or otherwise determine or attempt to determine or attempt to access the source code or internal design of the Services or any text, multimedia images (photos, audio, video files), data or other information provided by School Hub or third party service providers<br>- Not to delete, alter, or otherwise modify any copyright or other official notices contained in the Services<br>- You will not intentionally transfer, distribute, or permit the Services to be downloaded for use other than as specified herein<br>- Not to claim to grant or allow access to the Services to anyone other than yourself<br>- Do not share your username, password or other access credentials to SchoolHub Services .<br><br></p>
Third : Warranties and guarantees:
<p>You represent and warrant that<br>- you will comply with all laws and regulations in force in the Arab Republic of Egypt <br> - SchoolHubServices has not previously suspended; or prevent you from using it s services at any time<br> - you are not a competitor of SchoolHub , nor do you offer any product or service that competes with the services provided by SchoolHub <br> - you have full capacity and ability to enter into this contract and that you will not be in violation of any law or contract<br> - you will provide correct and accurate information to School Hub And update it periodically<br> - you will review and comply with any terms, conditions or notices sent through SchoolHub In connection with your provision of the Services available through the Platform to customers<br> - youwill not sublicense, issue, publish, transfer, distribute, perform, display, sell, or reclassify the School Hub Services or transfer or commercially exploit the Service, except as permitted by this Agreement , and we will be entitled to take whatever action we deem appropriate to compensate us for the damage caused by your action contrary to what was agreed upon,<br> - you will not use the information, content or any data you access or obtain through the SchoolHub Services For any purpose other than for the sole use of the Platform, and you will use the Platform and the Service exclusively for your own purposes and will not sell them to any third party (including without limitation providing any service to any other person)<br> - you will usethe Service or Platform for lawful purposes only, and will not use the Services to send, store or sell any illegal or fraudulent material<br> - you will not use the Service or Platform to cause harm, harassment or inconvenience to anyone <br> - youwill not impede the proper operation of the SchoolHub platform <br> - you will not attempt to harm the Service or the Platform in any way<br> - you willkeep your account password or any identification we provide to you and to ensure that access to your account is secure and confidential<br>- youwill provide us with all evidence of your identity as determined by SchoolHub . <br>- you acknowledge that School Hub has the right to revoke or reject or refuse your use of the platform and the provision & usage of services through it without the need to provide reasons for such refusal .<br>- you pledge to take all legal measures related to your use of the services, and you are committed to the terms of the School Hub platform <br>- you pledge to take all legal measures related to keep and provethe integrity of the documents related to you for using the services and the validity of licenses, as well as the integrity of all your data<br>- you acknowledge that School Hub shall not be liable for any act, omission or conduct of users of the Platform towards you or towards the Services, and you acknowledge that you alone bear the responsibility for taking appropriate measures relating to third parties who deal with the Services available through the Platform, and if the assignment of this mutual liability between you is not enforceable under applicable law, you undertake to indemnify, defend and hold School Hub harmless from any claims that may arise against it and relate to your provision of the Services under applicable law<br>- you acknowledgewithout prejudice to your right, if any , to have recourse against your subordinates, you will remain at all times responsible for any act or omission of yours towards the customers using the platform ( School Hub ) , even if the applicable law does not require or acknowledgethe principal to bear responsibility for the actions of his subordinates, and you acknowledge that you undertake to ensure that your employees / affiliates comply with, abide by and observe the terms and specifications of the service provided by School Hub , in addition to, all laws, regulations, rules and legislation governing any of the services provided through or related to the platform, and you hereby agree and warrant to the extent required that the rights, covenants, undertakings, representations and obligations of the service providers as stipulated in this contract apply to your employees / affiliates and are assumed, accepted and obtained by them, and you acknowledge that you will solely maintain and exercise when necessary, Control your employees/affiliates and bind them to all applicable laws and regulations that govern or apply to your relationship with them,.<br><br>- You acknowledge that SchoolHub does not exercise and does not intend to exercise any control over the business or actions of your employees / affiliates except as provided in this Agreement, and nothing in this Agreement shall create an employment relationship between you and SchoolHub or your employees, or make either of you an agent of SchoolHub , and you acknowledge and agree that you have no binding authority over SchoolHub , and you agree that you will not hold yourself out and that your employee will not hold himself out as an agent or authorized representative of SchoolHub , and in the event that you, your employee or both of you may be held out, by binding law or otherwise, as an agent, employee or representative of SchoolHub , you and agree to indemnify, defend and hold SchoolHub harmless from any claims brought by any person or entity based on any such employment or implied agency relationship.<br>- You bear any obligations or responsibilities arising as a result of your use of the services through School Hub platform and you are responsible towards the customers using the platform for any damages that arise to them as a result of any negligence or errors that occur for which you are responsible of.<br><br><br><br>- You acknowledge that School Hub owns and has all rights (including all intellectual property rights) to the Platform<br>And that SchoolHub hereby grants you a limited , revocable , non-exclusive, non-transferable, non-assignable right to use the Platform during the term of this Agreement for the sole purpose of using the Services available through the Platform<br><br>- You acknowledge that SchoolHub reserves all rights not expressly granted to you<br>- You Acknowledge that SchoolHub Platform may, from time to time, be unavailable (for example, due to routine maintenance or system updates) and that SchoolHub does not and cannot guarantee any particular or minimum availability of the Platform or Service .<br>- You and your affiliates in all their capacities will protect and maintain the confidentiality and safety of users at all times, and will not disclose to anyone other than those who need to know it any information , and you undertake to notify School Hub Immediately in the event of any (suspected) security violation or inappropriate use of any of your or the platform’s ID or account.<br>In addition you and your affiliates guarantee that will not do any of the following:<br><br>- License,, sublicense, sell, resell, transfer, assign, distribute, commercially exploit, dispose of or otherwise make available the Service or Application to any third party<br>- modify the Works or make derivative works based on the Service or Platform , or SchoolHub’s Terms of Service<br>- Modify,., decompile, reverse engineer, or disassemble, except as permitted by applicable law<br>- you and your affiliates will support SchoolHub. In all communications, engage effectively with other partners or stakeholders if requested by SchoolHub. That, and refrain from speaking negatively about School Hub's work. And the concept of its work in public<br>- You acknowledge that, school hub By allowing you to use the platform services , also allowsyou to comment on the service and give a rating for the service and its direct provider <br>- School Hub reserves the right to: publish these comments and ratings on its platforms in all their forms (or any other platforms owned by School Hub or operates or controls it). You also warrant that you and your affiliates shallprovide accurate and objective comments and feedback that do not violate any applicable laws or regulations.<br>- You acknowledge that school hub As a distributor and not a publisher of these comments and ratings (with no obligation to verify them) SchoolHub maintains reserves the right to reject, edit or remove any bad reviews if such reviews contain obscene comments, mention a person's name or violate any other applicable laws and regulations SchoolHub is not responsible for legal statutory requirements, we hereby disclaim any responsibility and liability for the content and consequences of (the posting or distribution of) any comments, ratings or reviews whatsoever<br>- In the event of a complaint, dispute or disagreement between you and any party or in other appropriate cases where there is a reasonable basis for such disclosure, SchoolHub may: Without being required -to the extent permitted by applicable laws and regulations- to provide to the Customer or the relevant authorities or any of them relevant data (including personal data) of you or your affiliates <br><br></p>
Fourth: Declarations
<p>- You pledge to School Hub That you For the duration of this contract to adhere to and comply with all permits, licenses and other governmental authorizations necessary to perform, implement and continue your efforts, operations and business in general<br>- You shall be committed to all local laws and regulations, and that you will be solely responsible For any violations of these local laws and regulations<br>- You acknowledge that School Hub may at any time, without any prior notification, makeamendment sor changes to the terms of this Agreement or the agreed fee (if any) , SchoolHub reserves the right to do so at anytime. And if that occurred, you acknowledge your consent to these changes<br>- , SchoolHub may Terminate the contract concluded with you for a legitimate reason with immediate effect and without the need to compensate you in any way</p>
Fifth: Intellectual property rights

School Hub shall not be responsible for any damages, losses or expenses arising from the use of the “ School Hub ” platform or reliance on or inability to use the information, materials, products and services available on the platform, or in connection with any failure of performance, error, omission, interruption, failure or delay in operation or transmission or due to computer viruses or line or system failure even if School Hub has been informed by you of the possibility of such damages, losses or expenses may occur.<br>School Hub shall not be liable for any damages, losses or liabilities including but not limited to direct, indirect, special incidental or consequential damages, losses or liabilities in connection with the educational services provided by Educational institutions and any errors, negligence, or otherwise that may result from them, and these institutions alone shall be solely responsible to the client for any damages or losses that may befall him , as the “ School Hub ” platform is only an electronic intermediary to provide a service to facilitate and provide general information about educational institutions with the aim of facilitating the work of those who wish to join these institutions<br>- User agrees to indemnify New Edge Agency, Owner of the School Hub brand, And defends and holds it harmless from any (possible) claims or (possible) damages incurred by third parties, arising from the provision of the service or platfrorm.<br>- User agrees and warrants to indemnify, defend and hold harmless SchoolHub. (At the request of School Hub and its licensors suppliers, officers, directors and subcontractors) from all claims, demands, expenses (including legal fees), damages, penalties, fines, social contributions or taxes from third parties (including customers, regulators and governmental authorities) directly related to the Agreement, except as relates to any breach of School Hub Commitments contained in this Agreement due to direct responsibility.<br>- The Service user expressly agrees that this Agreement shall not be deemed to constitute employment or that SchoolHub is an agent of the Service user or its affiliated outlet , and that School Hub provides the service as a commission-based brokerage service<br>- schoolhub shall not be liable for any damages, losses (including but not limited to direct, indirect, consequential punitive or special losses), claims, demands, expenses (including legal fees), damages, penalties or fines (including third parties) directly or indirectly related to the Service Agreement , includingPlatform, Client, and Data<br>Service and place of delivery or Any damages or risks associated with the implementation of the Service Provision Agreement<br>any act or omission of any party or contentand Consequences of (Publishing or Distributing) Any Comments, Ratings or Reviews Regarding the Educational Services , terminating the Service Agreement for any reason.<br>- All defenses, including limitations and exclusions of liability, that are in favor of SchoolHub shall apply. Regardless of the cause on which the legal liability is based (whether default, tort or otherwise), regardless of the type of breach of obligation (warranties, contractual obligations or otherwise), for all events and all agreements together, to the extent that no intentional misconduct or gross negligence on the part of School Hub has occurred or its management, as well as for the benefit of its employees.<br><br></p>
